Leyaa AI is a private limited company incorporated in India ("Leyaa" / "We" / "Us") engaged inter alia in the business of providing online educational courses and such other services ("Services") through their website/application that are made available to you ("User" / "You") from time to time (the Website and Application shall be collectively referred to as "Platform").
These Terms apply to all Users and others who wish to access or use Platform and/or Services. Please note that We reserve the right to revise or modify these Terms at any time without notifying You about such change. Your continued use of the Platform or Services following the posting of changes will mean you accept those changes.
These Terms together with the Privacy Policy published by us on the Platform, shall constitute the entire agreement between you and us concerning the Platform. If you do not agree with these Terms and/or the Privacy Policy, you must not continue to use the Platform and/or avail Services.

Accessing the Platform
It shall be your responsibility to ensure that you have made all necessary arrangements to facilitate your access to the Platform. We shall not be responsible for any telephone bills, internet charges, or any other costs incurred by you.

You shall not access the Platform and/or the Services in any manner that is in contravention of any applicable laws.

Use of Services and/or the Platform
You may purchase or subscribe to any of the plans available on our Platform by registering with us by creating an account, or you may use the single sign-on application provided by Google to create an account and log in.
Your purchase and use of Services shall be subject to these Terms and your successful purchase shall be deemed as consent to be bound by these Terms.
Once you have placed an order and made payment, we shall send you a receipt via email as an acknowledgment ("Confirmation").
Leyaa reserves the right to cancel or decline an order or part of an order at any time until we have sent you a Confirmation.
After purchasing Services, your access shall be valid for the duration specified in the purchase plan.
You agree that you shall not provide or facilitate third-party access to your account or to Services purchased by you. If found facilitating such access, Leyaa shall have the right to delete your account immediately.
Leyaa may occasionally offer promotional codes, shared at its sole discretion. We reserve the right to suspend or discontinue any promotional codes at any time.
Subject to applicable laws, if you wish to discontinue the use of Services, you may place a refund request within 7 days of purchase. The processing of such a request shall be at the sole and absolute discretion of Leyaa. We may disallow any refund request where:
The User has not submitted a request within 7 days from purchase.
The User has attempted or completed more than 3 adaptive tests in total (including mock tests, subject tests, or multi-subject tests) since purchase.
The User has accessed or downloaded test reports, performance analytics, or answer keys.
The User has engaged in multiple account sign-ups to exploit services.
The User has shared account credentials with others.
The User completed the purchase with a discount of any form.
You consent to comply with the Fair Usage Policy:
Usage Limitations: We reserve the right to throttle and limit accounts with unusually high usage to prevent abuse and ensure system stability.
Appeals Process: If you believe your account has been restricted in error, contact our support team. We will review your case promptly.
Dynamic Limits: Our system enforces usage limits on a per-minute, per-hour, and per-month basis across all plans, adjusted dynamically to accommodate varying usage levels.
Bot Prevention: We employ measures to prevent abuse by automated bots. Users encountering limitations should wait briefly before retrying.
Rate Limit Changes: Rate limits may be adjusted periodically. Higher-tier plans enjoy faster speeds and higher limits.
Prohibited Activities: Sharing login credentials or reselling account access is strictly prohibited and may result in immediate termination without refund.
API Rate Limits: Additional rate limits may apply for API plan users.
Policy Updates: This Fair Usage Policy is subject to change without prior notice.
Commitment to Sustainability: Leyaa.ai is committed to maintaining accessibility and affordability for all users while ensuring product sustainability.
In the event of bankruptcy or insolvency, Leyaa shall not be obliged to provide any refunds to any Users.
Leyaa reserves the right to cancel, withdraw, vary, or modify the Platform and Services at its sole discretion.
We do not warrant that our platform will always generate accurate responses. Your use of Services is at your own discretion and risk. Similar to any AI-based product, there may be occasional errors.
You shall not use offensive or inappropriate content, language, or conduct. Leyaa reserves the right to remove any inappropriate content without notice.
You may obtain free access for a trial period determined by us. Once expired, you may purchase a plan to continue.
Leyaa collects, stores, processes and uses your information in accordance with its Privacy Policy.

Intellectual Property Rights
All information, content, material, trademarks, services marks, trade names, and trade secrets contained in the Platform and Services are proprietary property of Leyaa ("Proprietary Information"). No Proprietary Information shall be copied, downloaded, reproduced, modified, republished, extracted, uploaded, posted, transmitted or distributed by you.
All legal rights including intellectual property rights, title and interest in and to the Platform vests with Leyaa. The Platform contains proprietary and confidential information, and you agree not to use such information except for use of the Platform in accordance with these Terms.

Disclaimer of Warranties
The content in the Platform is provided to you strictly on an "as is" and "as available" basis. We do not make any representation or warranties of any kind that the Platform will perform error-free, will meet your requirements, is complete, reliable, or has the highest standard of security.
You expressly agree that your access and use of the Platform, its content, and items obtained from us is at your sole risk. Leyaa hereby disclaims all warranties of any kind, whether express or implied, statutory, or otherwise, including but not limited to warranties of merchantability, non-infringement, and fitness for particular purpose.
Your use of the Platform includes the ability to enter into agreements and make transactions electronically. You acknowledge that your electronic submissions constitute your agreement and intent to be bound by these Terms. In the event that you are below 18 years and do not have parental consent, We reserve the right to terminate your access.

Limitation of Liability
To the maximum extent permitted by law, We shall provide the information relating to the Platform and the Services without warranties, guarantees, or representations. We shall assume no responsibility and shall not be liable for any loss or damage which may affect your equipment arising out of your use of the Platform.
Under no circumstances will We be liable for any damages whatsoever (including incidental, reliance, consequential, or special damages, lost profits, or damages from lost data or business interruption). In any event, the liability on Leyaa shall be limited to 10% of the fee paid to Us for the Services obtained by You.
We explicitly disclaim liability for:
Errors, mistakes, or inaccuracies of the content displayed on the Platform.
Personal injury or property damage resulting from use of the Platform.
Acts or omissions of our representatives without prior consent.
Any failure or delay in the Services.
Loss or damage arising from your failure to adhere to obligations under these Terms.
User content or defamatory, offensive, or illegal conduct of any third party.
Consequences resulting from engaging our representatives in individual capacity without our knowledge or consent.
You acknowledge and agree that the entire risk arising out of your use of the Platform and/or availing any Services remains solely with you.

Indemnification
By accepting these Terms, you agree to defend, indemnify, and hold harmless Leyaa, its directors, employees, shareholders, officers, and other representatives from and against any and all claims, costs, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or in connection with:
Your violation or breach of these Terms or any applicable law.
Any loss or injury resulting from your acts or omissions.
Your misuse of the Platform.
Your violation of the rights of any third party.
Any third-party claims based on communications transmitted by you and/or transactions undertaken by you.

General Provisions
Content found on the Platform is the property of Leyaa. You shall not distribute, modify, transmit, reuse, download, repost, copy, or use said content for commercial purposes or personal gain.
All notices served by us shall be provided via email to your account or as a general notification on your registered mobile number or email. Notices to us should be sent to legal@leyaa.ai.
Our failure to enforce any provision shall not be deemed a waiver of such provision nor of the right to enforce it.
If any provision is held invalid or unenforceable, it shall be struck and the remaining provisions enforced to the fullest extent under law.
You cannot assign or transfer your obligations under these Terms to any third party. Our rights are freely transferable without your consent.
Your use of the Platform does not constitute an employment, agency, partnership, joint venture, or franchise with Us.
You acknowledge that We have given you a reasonable opportunity to review these Terms and that you have agreed to them.
We reserve the right to withdraw or amend our Platform and Services without notice at any time.

Termination
We may terminate or suspend your account and bar access to the Platform immediately, without prior notice or liability, under our sole discretion, for any reason, including breach of these Terms.
All provisions which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law & Jurisdiction
These Terms, their subject matter, and any non-contractual disputes or claims are governed by Indian Laws and you agree to the exclusive jurisdiction of the courts of Chennai, India.
We reserve the right to seek injunctive or any other equitable relief in any courts of competent jurisdiction that, in our sole opinion, considers this to be necessary.
